These Terms & Conditions (“Terms”) govern your access to and use of the AgentOne website, software, and related services (collectively, the “Services”) provided by [Legal Company Name] d/b/a AgentOne (“AgentOne,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Services.
If you use the Services on behalf of a company, brokerage, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.
2. Services Provided
AgentOne provides a software platform for real estate professionals that may include tools for:
lead/contact management
communication workflows (including SMS/texting integrations)
tasks and action plans
transaction pipelines
calendar scheduling/integrations
automation features
AI-assisted workflows and drafting features (where available)
We may add, remove, or modify features at any time.
3. Account Registration and Security
To access certain features, you may need to create an account.
You agree to:
Provide accurate and current information
Keep your login credentials secure
Notify us promptly of unauthorized access or suspected security incidents
Be responsible for activity occurring under your account (except where caused by our breach)
We may suspend or terminate accounts that violate these Terms.
4. Fees, Billing, and Subscriptions
If you purchase paid features or subscriptions:
You agree to pay all fees and applicable taxes
Fees may be recurring (e.g., monthly/annual) unless otherwise stated
Billing may be processed by third-party payment processors
Fees are generally non-refundable except as required by law or stated in writing
We may change pricing with advance notice. Continued use after the effective date of new pricing constitutes acceptance.
If your payment method fails, we may suspend access to paid features.
5. SMS / Messaging Terms (Important)
If you use SMS/text messaging features through AgentOne:
A. Your Responsibilities
You are solely responsible for:
Obtaining all legally required consent before sending messages
Maintaining records of consent where required
Honoring opt-out requests
Complying with applicable SMS, telemarketing, consumer protection, and privacy laws
Using approved message content and use cases consistent with your campaign registration
B. Prohibited Messaging Conduct
You may not use AgentOne to send:
Unlawful, deceptive, or fraudulent messages
Spam or unsolicited messages without required consent
Messages that violate carrier rules, Twilio policies, or A2P registration requirements
Harassing, abusive, or threatening communications
C. Third-Party Messaging Providers
Messaging services may be provided through third-party providers (such as Twilio) and carriers. Delivery is not guaranteed, and timing or deliverability may be affected by carriers, providers, recipient devices, filtering, outages, or compliance restrictions.
D. Opt-Out Handling
AgentOne may block outbound SMS to numbers marked opted out (e.g., after STOP) and may process opt-out keywords automatically.
E. Fees
Standard messaging rates and carrier charges may apply to recipients. Additional platform or messaging fees may apply to your account depending on your plan/add-ons.
6. Acceptable Use
You agree not to:
Use the Services for unlawful purposes
Reverse engineer, decompile, or attempt to extract source code (except as allowed by law)
Interfere with platform security or performance
Access the Services through unauthorized means
Upload malware or harmful code
Misrepresent your identity or authority
Use the Services to infringe others’ rights
Circumvent usage limits, billing, or access restrictions
7. User Content and Data
You retain ownership of the data and content you submit to the Services (“User Content”), subject to the rights you grant below.
You grant AgentOne a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and otherwise use User Content solely as necessary to:
provide and improve the Services
operate integrations and messaging features
support and troubleshoot the Services
comply with law and enforce these Terms
You represent and warrant that you have all rights and permissions necessary to provide User Content and to use it with the Services.
8. AI Features (If Enabled)
AgentOne may provide AI-assisted features (e.g., drafting messages, summaries, recommendations, action suggestions).
You acknowledge:
AI outputs may be inaccurate, incomplete, or inappropriate
You are responsible for reviewing outputs before sending or relying on them
AI outputs are tools to assist, not substitute for professional judgment, legal advice, or compliance obligations
We may use third-party AI providers to power these features.
9. Third-Party Services and Integrations
The Services may integrate with third-party services (e.g., Google, Microsoft, Twilio). Your use of those services may be subject to third-party terms and privacy policies.
We are not responsible for third-party services, their availability, or their actions, and we are not liable for outages or changes caused by them.
10. Intellectual Property
The Services, including software, design, branding, trademarks, text, graphics, and functionality (excluding User Content), are owned by AgentOne and protected by applicable intellectual property laws.
No rights are granted except as expressly stated in these Terms.
11. Confidentiality
You agree not to disclose non-public information about the Services, our systems, pricing, or product features that is designated confidential or that a reasonable person would understand to be confidential, except as required by law.
(If you want stronger mutual confidentiality language for enterprise customers, use a separate MSA/DPA.)
12. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTONE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE
MESSAGES WILL BE DELIVERED OR DELIVERED ON TIME
AI OUTPUTS WILL BE ACCURATE OR COMPLIANT
THE SERVICES WILL MEET YOUR SPECIFIC BUSINESS OR LEGAL REQUIREMENTS
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTONE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTONE’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID TO AGENTONE FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM, OR
$100 USD
(Some jurisdictions do not allow certain limitations; this section applies to the fullest extent permitted by law.)
14. Indemnification
You agree to defend, indemnify, and hold harmless AgentOne and its affiliates, officers, directors, employees, and service providers from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
your use of the Services
your User Content
your violation of these Terms
your violation of law, including SMS/telemarketing/privacy laws
your infringement of another party’s rights
15. Suspension and Termination
We may suspend or terminate your access to the Services if:
you violate these Terms
we are required to do so by law or a provider
your use poses security, fraud, or legal risk
payment obligations are overdue
You may stop using the Services at any time.
Sections that by nature should survive termination (e.g., fees owed, IP, disclaimers, liability limits, indemnity) will survive.
16. Changes to Services or Terms
We may modify the Services or these Terms from time to time. If we make material changes, we will update the “Last Updated” date and may provide notice where appropriate.
Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles.
If you want a specific venue clause, add:
Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in [County, State], and the parties consent to personal jurisdiction and venue there.
18. Dispute Resolution (Optional but Recommended to Customize)

19. Miscellaneous
These Terms constitute the entire agreement between you and AgentOne regarding the Services, except for separate written agreements (if any).
If any provision is found unenforceable, the remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
These Terms constitute the entire agreement between you and AgentOne regarding the Services, except for separate written agreements (if any).
